Two separate things: the terms for reading this website, and the terms that apply once a project is agreed. Both are below.
Using this website
The content of abatchan.com (text, layout, code, graphics, the abatchan name, symbol, and lockups) belongs to abatchan unless stated otherwise. You may read it, link to it, and quote it with attribution.
Brand assets on the brand page may be downloaded and used to refer to abatchan accurately: press coverage, a client list, a partner page. They may not be altered, and they may not be used in a way that implies endorsement or partnership that does not exist.
The site is provided as it is. Prices, availability, and described capabilities can change without notice.
Quotes and estimates
Prices shown on the pricing page are starting points, not quotes. A quote is issued in writing against a specific scope after discovery, and is valid for 30 days unless stated otherwise.
A quote is based on the information available when it is written. If the existing system turns out to be materially different from what was described (undocumented dependencies, unstable integrations, missing access) the quote is revised before further work, not after.
Payment and milestones
- Work begins once the first milestone is funded and required access is in place.
- Larger projects are split into milestones tied to deliverables. Each is invoiced as it is reached.
- Invoices are payable within 14 days unless the quote says otherwise.
- Prices are in USD and exclude any taxes, duties, or transfer fees that apply in your country.
- Third-party costs (hosting, domains, licences, paid APIs) are yours, billed to your own accounts wherever possible.
Work may be paused on overdue invoices. Where that happens you will be told before it takes effect, not after.
Scope and changes
Each quote lists deliverables, assumptions, and exclusions. Anything not listed is out of scope.
Changes are welcome and are handled at milestone boundaries: the change is priced, agreed in writing, and then built. Nothing outside the agreed scope is done silently and added to an invoice later.
Each milestone includes one round of consolidated revisions. Further rounds are quoted separately.
What you provide
- Content, assets, and credentials by the dates agreed in the schedule.
- A single decision-maker, or a clear route to one.
- Feedback within the agreed window, consolidated rather than continuous.
- Confirmation that you hold the rights to any content, media, or data you supply.
Delays on these move the schedule. Where a delay causes rescheduling, the timeline is revised in writing.
Ownership and IP
On final payment, ownership of the deliverables built specifically for you (source code, designs, and configuration) transfers to you.
Two things are not transferred, because they cannot be: third-party components remain under their own licences, and pre-existing tools, libraries, and internal methods developed by abatchan before or outside your project remain abatchan's. Where any of these are used in your deliverables, you receive a perpetual, non-exclusive licence to use them as part of the delivered work.
Accounts and infrastructure are created in your name wherever the platform allows, so nothing depends on access only abatchan holds.
Portfolio use
Completed work may be shown in the abatchan portfolio and in related material, including screenshots and a description of the problem and approach. Confidential details, live data, and credentials are never shown.
If your project cannot be published, say so before work starts and it will be kept off the portfolio.
Confidentiality
Non-public information you share (business plans, data, credentials, internal systems) is treated as confidential and is not disclosed to anyone else, except where disclosure is required by law. This survives the end of the engagement. A separate NDA can be signed where you need one.
Warranty and fixes
Defects in delivered work (something not behaving as the agreed scope says it should) are fixed at no charge for 30 days after the relevant milestone is delivered.
This does not cover new features, changes of requirement, problems caused by edits made by others, or breakage caused by third-party services changing. Those are quoted as new work or handled under a support arrangement.
Liability
Work is delivered with reasonable skill and care. Nothing here excludes liability that cannot lawfully be excluded, including for death, personal injury, or fraud.
Subject to that, total liability in connection with an engagement is limited to the fees paid for that engagement, and does not extend to indirect or consequential loss such as lost profit, lost revenue, or loss of data.
You are responsible for maintaining your own backups of live systems and data.
Ending an engagement
Either side can end an engagement in writing. Work completed up to that point, and the current milestone in progress, remain payable. Once settled, you receive everything produced to that date in a usable form.
Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. Where a separate signed agreement covers a project, that agreement takes precedence over this page for anything the two disagree on.
